Season Ticket Member Terms And Conditions

  1. These Season Ticket Member Terms and Conditions (“Terms”) are effective as of January 1, 2025 (the “Effective Date”), and apply to each season ticket member (“Season Ticket Member”) with respect to themselves and Frisco Stadium, LLC (“Licensor”)and confirms the terms upon which Season Ticket Member has been granted a right of access to the Seats in the Stadium, as defined in and subject to, the terms and conditions below and the additional terms and conditions contained in the following pages (collectively, the “Terms”).
  1. Grant of Tickets. Subject to the provisions herein, upon payment of the Annual Fee, and subject to the payment schedules referenced in this Terms, Licensor grants to Season Ticket Member the privilege and right to use the season tickets for the FC Dallas Matches included in the season ticket package (“Season Tickets”). The interest granted herein is a revocable License, which may be suspended or revoked, to use the number of specific seats in the stadium as set forth in this Terms (the “Seat(s)”), located at Toyota Stadium, 9200 World Cup Way, Frisco, Texas 75033 (the “Stadium”). The License shall be for the limited purpose of using the seats for viewing MLS regular season matches played by FC Dallas at the Stadium (“FC Dallas Matches”), provided that the License shall not be in effect for any pre-season matches, playoff matches, or additional event matches for which Season Ticket Member does not purchase admission tickets, pursuant to Section 3 and Section 4 of this Terms. Season Ticket Member’s Seats may be subject to change at Licensor’s sole discretion, including but not limited to, to comply with any federal, state, local, and other governmental entity’s mandate, order, ordinance, guidance, recommendation, and/or any other purpose deemed necessary in Licensor’s sole discretion. The License shall not apply to any event that may be held in the Stadium that is not a FC Dallas Match or is not otherwise identified in this Terms. If Season Ticket Member has a designated supporter section Season Ticket, such Season Ticket is standing room only meaning there is no assigned seat associated with the supporter section Season Ticket (the “Supporter Section Season Ticket”). The area for the Supporter Section Season Ticket is located in the south-west corner of the Stadium. Each Supporter Section Season Ticket Seat is available on a first come, first served basis and a specific Seat location is not guaranteed. A seat number indicated on the Supporter Section Season Ticket, if any, is for inventory purposes only.
  1. Playoff Tickets. Playoff matches are at an additional cost above and beyond Season Ticket Member’s Annual Fee and will be automatically charged in advance of each playoff round unless Season Ticket Member provides written notice to opt-out of the playoff tickets (“Playoff Tickets”). Upon receipt of Playoff Ticket pricing information and seating location, Season Ticket Member may provide written notice by the designated date to opt-out of the playoffs, not be charged, and have no change to Season Ticket Member’s membership status. Notification of Playoff Ticket pricing will be sent to Season Ticket Member prior to the end of the regular season or as soon as practical. Playoff Ticket seating locations may vary from Season Ticket Member’s Season Ticket seat location. If Season Ticket Member does not opt out of Playoff Tickets pursuant to the instructions set forth herein, Season Ticket Member will be automatically charged for Playoff Tickets in accordance with Season Ticket Member’s payment information on file with Licensor.
  1. Pay-As-We-Play Program. Any match beyond the group stage home match(es) for League’s Cup and any match beyond the first home match for Lamar Hunt U.S. Open Cup during an MLS Season, except if the first Lamar Hunt U.S. Open Cup home match is the semi-finals or finals match, are at an additional cost above and beyond Season Ticket Member’s Annual Fee. Season Ticket Member will be given the opportunity to enroll in the Pay-As-We-Play program in which Season Ticket Member will be charged in advance of each round (the “Pay-As-We-Play Program”) for certain events which fall outside the designated Season Ticket package and which may include one (1) or more rounds of competition at the Licensor’s discretion, including but not limited to Leagues Cup matches, Lamar Hunt U.S. Open Cup matches, and other similar matches designated by Licensor in its sole and absolute discretion (each, a “Pay-As-We-Play Match(es)”). Following the public announcement of one (1) or multiple Pay-As-We-Play Match(es), Licensor shall provide Season Ticket Member with notice that such event(s) constitute a Pay-As-We-Play Match and shall further provide Season Ticket Member with an invoice for the price of tickets and seating location, if such seating location is different from Season Ticket Seat(s), to such Pay-As-We-Play Match. If Season Ticket Member opts in to the Pay-As-We-Play Program, Season Ticket Member authorizes Licensor and Licensor’s ticketing agent to charge Season Ticket Member’s credit card, debit card, bank account on file with Licensor for the full invoice amount in one (1) lump sum (unless a payment plan is offered through the invoice).
  1. Annual Fees payments must be made on or before the agreed upon dates set forth in this Terms. Season Ticket Member hereby expressly authorizes Licensor and its ticketing agent to process charges for the Annual Fees, any renewal Season Ticket(s), Playoff Ticket(s), and participation in the Pay-As-We-Play Program, in the same manner in which Season Ticket Member’s previous Season Ticket payment to Licensor was made (e.g., by credit card, debit card, ACH debit, etc.), and waive the right to contest or dispute the charging or processing of the same. This License is terminable upon Season Ticket Member’s failure to timely pay any payments under this Terms including, without limitation, any installment of Annual Fees (if applicable). In the event that Season Ticket Member fails to make any timely required payment, Licensor shall have the right to (a) withhold Season Ticket Member’s tickets for upcoming events until payment is made and the account is in good standing; (b) terminate this Terms, with any payments made prior to the termination date forfeited by Season Ticket Member; (c) accelerate and collect the balance of all funds due and owing from Season Ticket Member to Licensor under this Terms (including, but not limited to, for any Season Tickets, renewals or Playoff Tickets); and/or (d) charge interest pursuant to this Terms at the rate of one and half percent (1.5%) per month (or, if less, the highest rate permitted by law) from the date beginning thirty (30) days after such payment is due and continuing on a monthly basis until such amount is paid in full. To the extent permitted by applicable law, the interest charge shall be compounded monthly until the entire amount under these Terms is considered paid in full. In addition, if Season Ticket Member’s payment method is rejected or any check is returned (for insufficient funds or otherwise), Season Ticket Member shall be obligated to pay to Licensor a rejection/collection fee of Seventy-Five U.S. Dollars ($75.00) per instance. ALL SALES, CHARGES, RENEWALS, PLAYOFF PURCHASES, AND PARTICIPATION IN THE PAY-AS-WE-PLAY PROGRAM ARE FINAL. NO CANCELLATIONS, REFUNDS, OR EXCHANGES ARE NOT PERMITTED UNLESS SEASON TICKET MEMBER EXPRESSLY REQUESTS IT WITHIN SEVEN (7) DAYS OF THE EFFECTIVE DATE AND THE REQUEST EXPRESSLY AUTHORIZED BY LICENSOR IN ITS SOLE AND ABSOLUTE DISCRETION ON A CASE-BY-CASE BASIS.
  1. Truth in Lending Compliance Notice and Terms. Season Ticket Member is hereby made aware and understands if it elects to pay the Annual Fee in monthly installments, the following information in connection with the Truth in Lending Act:
  1. Creditor: Frisco Stadium, LLC
  2. Annual Percentage Rate: 0%. Season Ticket Member will not be charged a credit fee or other charge to pay for its Season Tickets.
  3. Amount Financed: The amount of credit provided to Season Ticket Member on its behalf is Zero U.S. Dollars ($0.00). Season Ticket Member will not be charged a credit fee or other charge to pay for its Season Tickets.
  4. Total Number of Payments: The amount Season Ticket Member will have paid for its Season Tickets after Season Ticket Member has made all payments on a timely basis is equal to the amount of the Annual Fee for the Season Tickets; such amount shall be specified on the invoice provided to Season Ticket Member upon completing the purchase of the Season Tickets.
  5. Finance Charge: There is no credit or finance fee charged to Season Ticket Member in connection with the purchase of Season Tickets; however, Licensor does charge a one-time processing fee of Ten U.S. Dollars ($10.00) in connection with the sale of Season Tickets.
  6. Total Sale Price: The total cost of the purchase of Season Ticket Member’s Season Tickets, including any down payment or deposit Season Ticket Member has made, will be equal to the amount of the Annual Fee for such Season Tickets as specified on the invoice provided to Season Ticket Member.
  7. Number of Payments: The total number of payments that Season Ticket Member shall make is based on the installment plan Season Ticket Member chooses to pay for such Season Tickets, if applicable, up to a maximum of twelve (12) payments.
  8. Amount of Each Payment: The amount of each payment Season Ticket Member shall make is based on the total Annual Fee of the tickets Season Ticket Member has purchased and the number of installments Season Ticket Member has chosen to pay for such Season Tickets, minus any down payment or deposit already paid by Season Ticket Member.

Should Season Ticket Member have any questions regarding its rights under TILA as it relates to this transaction, Season Ticket Member has been advised to contact Licensor at legalnotices@fcdallas.com.

  1. Food and Beverage. Season Ticket Member that has Season Tickets located in all-you-can-eat areas of the Stadium shall have snacks, food, soda, water, and select beers (limited to individuals above the age of twenty-one (21)), made available for no additional charge as part of the Annual Fee. Such food and beverages shall be subject to the Stadium’s policies and procedures, such as restrictions on removing items from the premises. If desired by Season Ticket Member and its guests, Season Ticket Member and such guests must separately purchase food and beverages made available in areas of the Stadium. Season Ticket Member shall not, and shall not permit its guests to, bring food or beverages into the Stadium, except food and beverages purchased from the Stadium’s duly authorized concessionaires.
  1. Change of Address. Licensor will provide notice to Season Ticket Member either in mail or by email in accordance with the contact information above unless Season Ticket Member communicates a change in Season Ticket Member’s contact information to Licensor in writing. Upon notifying Licensor of a change in Season Ticket Member’s contact information, Season Ticket Member may receive an Amendment that must be completed and returned to Licensor.
  1. Compliance with Rules. Season Ticket Member, its invitees, guests, and other authorized Seat users shall at all times maintain proper decorum while using the Seats subject to these Terms and shall abide by and observe all present and future laws, ordinances, orders, policies, directions, rules, and regulations established by Licensor, MLS, Soccer United Marketing, LLC (“SUM”), any government authority, pertaining to the use and occupancy of the Stadium, including, but not limited to, the Major League Soccer Fan Code of Conduct and the terms and conditions associated with the Season Tickets for admission (collectively, the “Code of Conduct”). The Code of Conduct and the terms and conditions associated with the Season Tickets for admission can be found on Licensor’s website at https://www.fcdallas.com/tickets and are incorporated herein by reference. By signing these Terms, Season Ticket Member agrees that it has reviewed the Code of Conduct and agrees to be bound by the Code of Conduct, which Code of Conduct may be updated by Licensor in its sole and absolute discretion at any time. Without limiting the foregoing, Season Ticket Member specifically agrees that neither it nor its invitees, guests, or other authorized Seat users will: (i) bring into the Stadium any alcoholic or intoxicating beverage, any illegal drugs, or, except as prescribed by a physician, any controlled substance; (ii) permit the Seats to be used for any illegal, improper, immoral, or objectionable purpose, or in any way obstruct or interfere with the rights of any other Season Ticket Members or the use of any other seats in the Stadium, or the Stadium itself; (iii) film, record, or transmit from the Seats or any other location within the Stadium all or any portion of any soccer match, or other event, or any description thereof, by any means (including, without limitation, radio, or television broadcasting whether broadcast “live” or by means of film or tape delay); and (iv) violate (a) any of Licensor, MLS, and/or any of their third party ticketing vendor’s rules or regulations regarding the issuance, printing, or resell of any admission ticket, (b) any printed or electronic terms on any admission ticket, (c) any Stadium or Licensor rule or regulation, or (d) fail to follow the instructions of Stadium personnel. Season Ticket Member shall, in addition to the other payments provided for in these Terms, reimburse Licensor for any costs incurred by Licensor to repair any damage (other than normal wear and tear) caused by Season Ticket Member or its guests to any Stadium property. Licensor’s obligation under these Terms shall be subject to applicable fire and occupancy codes and other laws and regulations.
  1. Season Ticket Member, its invitees, guests, and other authorized Seat users understand that Licensor has established rules related to admission and that such admission rules do or may include: (i) searches of bags, purses, baggage, and any other container carried by any person seeking admission to the Stadium; (ii) limitations on the transparency, size and shape of containers, bags, purses, or baggage; (iii) “pat downs” and “wanding” of persons seeking admission to the Stadium; and (iv) any Code of Conduct, ticket back terms as found on Licensor’s website at https://www.fcdallas.com/tickets/policy, and/or other rules applicable to persons entering the Stadium; such rules are subject to change at any time.
  1. Personal Data. By providing Season Ticket Member’s personal information to Licensor, Season Ticket Member authorizes Licensor to collect, process, and use such information for lawful, business-related purposes and to store such information, either directly or through third party vendors, in the United States or elsewhere. By providing Season Ticket Member’s contact information, Season Ticket Member is authorizing Licensor, MLS, SUM, and their respective affiliates, designees, representatives, agents, and sponsors permission to contact Season Ticket Member about future offers such as Season Ticket benefits, other event tickets, promotions, products, and services using SMS messages, text messages, emails, and telephone calls delivered using an automated system for the selection or dialing of telephone numbers or the playing of a recorded message when a connection is completed to a number called. Season Ticket Member understands that this permission overrides Season Ticket Member’s listing on any state or federal Do Not Call list and any prior listing on the Licensor’s Do Not Call list.
  1. Promotional Use of Season Ticket Member’s Image. Season Ticket Member grants permission to Licensor, MLS, SUM, and their respective affiliates, designees, representatives, agents, and sponsors to utilize Season Ticket Member’s name, image, likeness, actions, and statements in any live or recorded audio, video or photographic display or other transmission, exhibition, publication or reproduction made of or at the match in any medium or context for any purpose, including commercial or promotional purposes, without further authorization or compensation, and further authorizes the use of Season Ticket Member’s name, image, or likeness in connection with the promotion of Licensor, MLS, SUM and the sport of soccer.
  1. Ticket Resale Restricted. Except as prohibited herein, Season Ticket Member may transfer their individual match tickets to any person, provided that Season Ticket Member shall be (i) responsible for ensuring that any person using a transferred ticket (“Transferred Ticket User”) complies with all applicable Terms of these Terms; and (ii) responsible for all acts and omissions of each Transferred Ticket User as if such act or omission was that of Season Ticket Member. Licensor reserves the right to terminate these Terms of any individual who sells more than fifty percent (50%) of their Season Tickets. Licensor has sole discretion to cancel any account for any reason—specifically including anyone buying tickets for the sole purpose of reselling the tickets.
  2. Rights; Privilege; Relationship. The rights licensed under these Terms are rights of personal privilege and do not under any circumstances confer upon Season Ticket Member any interest or estate in real property or any leasehold interest in the Seats or the Stadium. Season Ticket Member’s relationship with Licensor is that of Season Ticket Member and licensor.
  1. Subject to MLS. these Terms is subject and subordinate to all terms, conditions, and provisions of any Stadium lease and any other agreement upon which Licensor’s rights with respect to the Stadium are based and to the rules and regulations of MLS, as such rules and regulations may be amended, revised, or extended at any time at the sole discretion of Licensor or MLS.
  1. Default. A breach of any term of these Terms by Season Ticket Member, its invitees, guests, or other authorized Seat users including, without limitation, any failure to pay (including, but not limited to, for any Season Tickets, renewals, Playoff Tickets, or participation in the Pay-As-We-Play Program) when due as required hereunder, shall constitute a default. Upon the occurrence of a default, Licensor shall have any and all remedies available herein and under applicable law, including, without limitation, the power to eject Season Ticket Member and its invitees, guests and other authorized Seat users from the Seats and the power to terminate, at its option; Licensor’s obligations under these Terms; and Season Ticket Member’s rights under these Terms including, but not limited to, Season Ticket Member’s right to the use of the Seats. Upon exercise of such option to terminate by Licensor, Licensor shall not be obligated to, but may enter into a new season ticket agreement or otherwise sell individual match tickets with respect to the Seats formerly subject to these Terms on terms and conditions established by Licensor in Licensor’s sole discretion, without any compensation to Season Ticket Member. Failure by Licensor to exercise any right or remedy hereunder shall not constitute a waiver or release thereof. Upon default, Season Ticket Member agrees to pay to Licensor all attorneys’ fees and court costs incurred by Licensor in connection with Licensor’s enforcement of its rights and remedies hereunder.
  1. ASSUMPTION OF RISK; LIABILITY; INDEMNITY. SEASON TICKET MEMBER, FOR ITSELF, ITS INVITEES, GUESTS, AND OTHER AUTHORIZED SEAT USERS (COLLECTIVELY, "SEASON TICKET MEMBER PARTIES”), HEREBY FOREVER RELEASES, WAIVES, AND DISCHARGES LICENSOR, AND ITS RESPECTIVE AFFILIATES, AGENTS, EMPLOYEES, REPRESENTATIVES, OFFICERS, DIRECTORS, INSURERS, OWNERS, SUCCESSORS AND ASSIGNS (COLLECTIVELY, “LICENSOR PARTIES”) FROM ALL LIABILITY ARISING OUT OF, AND HEREBY ASSUMES THE RISK OF, AND HEREBY COVENANTS NOT TO SUE OR OTHERWISE MAKE ANY CLAIM OR DEMAND AGAINST ANY LICENSOR PARTY, WITH RESPECT TO ANY LOSS, DAMAGE, OR INJURY (INCLUDING INJURY TO THE PERSON OR PROPERTY AND INCLUDING DEATH) ARISING OUT OF, OCCURRING DURING, OR RELATED TO SEASON TICKET MEMBER PARTIES’ ATTENDANCE AT EVENTS HELD AT THE STADIUM, OR ELSEWHERE RESULTING FROM ANY CAUSE WHATSOEVER, AS ALLEGED TO HAVE BEEN CAUSED BY THE NEGLIGENCE OR OTHER FAULT (BUT EXCLUDING GROSS NEGLIGENCE OR WILLFUL MISCONDUCT) OF ANY LICENSOR PARTY. With full awareness of the risks involved, Season Ticket Member hereby assumes and shall cause all Season Ticket Member Parties to assume all risks and dangers incidental to attending events at the Stadium, whenever or however they occur, including, without limitation, the danger of being injured by players, balls, other objects, transmittable DISEASES, and other patrons and visitors. Season Ticket Member, for itself, and Season Ticket Member Parties shall indemnify and hold harmless Licensor and all Licensor Parties from and against any liabilities, losses, damages, claims, demands, costs and expenses, including reasonable attorneys’ fee, cost of investigation, and litigation expenses, arising out of or related to any act or omission or omission, breach of any provision of these Terms, or violation of any applicable law, rule, regulation, ordinance or order, by Season Ticket Member or any of its guests, employees, agents or other affiliates. This provision shall survive the expiration or termination of these Terms.
  1. Termination. If, under the terms of the agreement between or among Licensor and its/their affiliates it is no longer obligated to play home matches at the Stadium, then Licensor may notify Season Ticket Member thereof, thereby terminating these Terms without compensation to Season Ticket Member.
  1. Dispute Resolution. Any controversy, dispute, or claim between the parties arising out of or relating to these Terms shall be resolved by mediation or binding arbitration, rather than in court. The parties agree that within ten (10) business days of the other party’s receipt of such notice, a member of each party shall meet in-person for a minimum of one (1) eight (8) hour day, or such shorter period of time if the dispute is more quickly resolved, in Collin county, Texas, in order to attempt to amicably resolve the dispute by mediation. If such informal dispute resolution attempts prove to be unsuccessful, the notifying party may initiate binding arbitration to be conducted in Collin County, Texas, and administered by the American Arbitration Association (the “AAA”). Such proceedings shall be conducted before a single arbitrator and in accordance with AAA’s then current rules, including AAA’s Supplementary Procedures for Consumer-Related Disputes. The arbitrator shall have the right to include in their awards any relief which the arbitrator deems proper, excluding attorneys’ fees and costs incurred by the prevailing party (unless deemed frivolous by the arbitrator). Season Ticket Member agrees that any dispute resolution proceedings of any nature or in any forum will be conducted only on an individual basis and not in a class, consolidated or representative action. Likewise, an arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. If for any reason a claim proceeds in court rather than in arbitration, the venue for any legal action arising out of or in any way relating to these Terms shall be in the courts of Collin county, Texas, and the parties (a) hereby irrevocably consent to the jurisdiction of that Court, and (b) agree that any such action shall be tried by a judge, sitting without a jury, and that each party hereby knowingly and voluntarily waives the right to a trial by jury. No provision in these Terms shall prevent Licensor from bringing suit in court to enjoin infringement or other misuse of intellectual property rights. BY AGREEING TO ARBITRATION, SEASON TICKET MEMBER UNDERSTANDS AND AGREES THAT IT IS WAIVING ITS RIGHT TO MAINTAIN OTHER AVAILABLE RESOLUTION PROCESSES, SUCH AS A COURT ACTION OR ADMINISTRATIVE PROCEEDING, TO SETTLE ANY DISPUTES OR CLAIMS.
  1. Governing Law. The laws of the State of Texas shall govern the validity, performance, and enforcement of these Terms.
  1. Personal Guaranty. In the event that the Season Ticket Member executing these Terms is an entity, the person executing these Terms on behalf of the Season Ticket Member represents and warrants to Licensor that he/she/they have the full and complete authority and power to execute these Terms on behalf of the Season Ticket Member. By executing these Terms, the undersigned is personally, absolutely, unconditionally, and irrevocably guaranteeing the full, prompt, and complete payment when due of the Annual Fees, renewal fees, Playoff Tickets, Pay-As-We-Play Program, and any interest owed under these Terms. This is a continuing, absolute, and unconditional guarantee of any payment and is a condition precedent to the Season Ticket Member entering into these Terms. To the maximum extent permitted by law, the undersigned hereby waives all defenses of a surety or guarantor to which it might be entitled by statute or otherwise.
  1. Entire Agreement; Modification. These Terms contains the entire agreement of the parties with respect to the matters provided for in these Terms and shall supersede any and all oral or written agreements and discussions previously made or entered into concerning the subject matter of these Terms. No modification of these Terms shall be valid or enforceable unless in writing and signed by both parties.
  1. Assignment. These Terms may be assigned by Licensor but may not be sold, assigned, sublicensed, or otherwise transferred by Season Ticket Member except as elsewhere provided in these Terms to any other person or entity. No such assignment or transfer by Season Ticket Member shall relieve Season Ticket Member from any obligation under these Terms. Any attempted sale or assignment without Licensor’s prior written consent shall be void.
  1. Notices. All notices, consents, approvals, and other communications given to any party under these Terms shall be in writing to such party at the address set forth in these Terms or at such other address as such party has designated by notice to the other party hereto in accordance with this Section. Notices or other documents may be delivered personally, including delivery by private courier services, including overnight courier delivery, by telecopy (with a copy of such notice sent by private courier service for overnight delivery or by registered or certified mail), by electronic mail, or by first-class United States mail, postage prepaid, to the party entitled thereto, and shall be deemed to be duly given or made upon the earlier of (a) when received or (b) three (3) business days after sending by first-class United States mail, postage prepaid, to such address. It shall be the responsibility of the party changing addresses to notify the other in accordance with the terms of this Section. Notice to Licensor can be sent at the following:

  1. Binding Effect. These Terms and all the terms and provisions hereof shall be binding upon and inure to the benefit of the parties hereto, and their respective heirs, administrators, personal representatives, successors and permitted assigns.
  1. Force Majeure. Neither party shall be liable for failure or delay in performance of their respective obligations under these Terms to the extent that such failure or delay is due to circumstances beyond their reasonable control which includes, but is not limited to, a labor dispute between MLS and MLS players that causes a strike or a lockout that causes cancellation of matches, any act of God, storm, fire, severe weather, casualty, work stoppage, strike, lockout, other labor dispute, civil disturbance, riot, war, national emergency, pandemic, epidemic, act of government, act of public enemy, act of terrorism, or other cause of similar or dissimilar nature beyond its control, but this Section shall not relieve Season Ticket Member from any obligation to pay money.
  1. Severability. If any term or provision of these Terms or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, the remainder of these Terms, or the application of such term or provision to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected, and each shall be considered valid and enforceable to the fullest extent permitted by law.
  1. Disclaimer. These Terms should not be viewed or acquired as an investment, and Season Ticket Member should not expect to derive any economic profits as a Season Ticket Member under these Terms.
  1. Miscellaneous. No amendment or modification to these Terms shall be effective unless the same is in writing and signed by Licensor and Season Ticket Member. These Terms may be executed in multiple counterparts, with all counterparts construed as a single Agreement. Time is of the essence with respect to the performance by Season Ticket Member of its obligations under these Terms.
